SERVICE LEVEL AGREEMENT (SLA)

Between: the Dealer ("the Dealer")
and FIND AND DRIVE GROUP (PTY) LTD t/a Find And Drive Group, Registration No. 2005/013630/07 ("the Service Provider").

1. Purpose of the Agreement

1.1 This Agreement governs the provision and support of an embedded iframe ("the Tool") by the Service Provider, enabling visitors to the Dealer's website to:

  • Check their eligibility for vehicle finance; and
  • Submit a vehicle finance application to Seriti.

1.2 The Tool integrates credit scoring and related background checks in accordance with applicable legislation.

2. Scope of Services

The Service Provider shall:

  • Host, maintain and update the iframe functionality on a secure platform;
  • Ensure integration with registered credit bureaus and other required data sources;
  • Provide support for the embedding and operation of the Tool on the Dealer's website;
  • Process all collected data securely and lawfully.

Downtime due to third-party platforms outside the Service Provider's control is excluded from the uptime calculation. The Service Provider shall take reasonable steps to escalate and monitor resolution of such issues.

4. Data Protection and POPIA Compliance

4.1 The Service Provider undertakes to comply with the Protection of Personal Information Act, 4 of 2013 (POPIA), including:

  • Lawful and transparent processing of personal information;
  • Processing only the minimum necessary data;
  • Implementing appropriate technical and organisational measures to protect personal data;
  • Not transferring personal information outside South Africa unless compliant with section 72 of POPIA.

4.2 The Dealer remains the Responsible Party; the Service Provider acts as Operator as defined in POPIA.

4.3 The Service Provider will only process personal information for the purpose of rendering services under this Agreement and may not use it for any unauthorised secondary purpose.

5. Liability and Indemnity

5.1 The Service Provider shall not be liable for any indirect, consequential, or special damages arising from the use or unavailability of the Tool, except in cases of gross negligence or wilful misconduct.

5.2 The Dealer indemnifies the Service Provider against all losses or claims resulting from the Dealer's misuse of the Tool.

6. Confidentiality

Each party shall treat all business and customer information received from the other party as confidential and may not disclose such information to third parties without prior written consent, except as required by law.

7. Intellectual Property

All intellectual property in the Tool and associated services remains the property of the Service Provider. This Agreement does not transfer any IP rights to the Dealer, except for a non-exclusive, non-transferable licence to use the Tool as described herein.

8. Term, Termination and Cancellation

8.1 This Agreement commences on the date of digital signing and continues for an indefinite period unless either party provides at least thirty (30) days' written notice of non-renewal.

8.2 Either party may terminate with immediate effect if the other commits a material breach and fails to remedy it within ten (10) business days of written notice.

8.3 Either party may cancel for convenience with not less than sixty (60) days' written notice.

8.4 Any fees due for services rendered up to the effective termination date remain payable by the Dealer.

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Republic of South Africa. Disputes shall be resolved:

  • First, through good-faith negotiation between the parties;
  • Failing which, by arbitration in Johannesburg under the rules of the Arbitration Foundation of Southern Africa (AFSA).

10. General Provisions

  • This SLA forms the entire agreement between the parties and supersedes any prior arrangements.
  • Any amendments must be in writing and signed by both parties.
  • Neither party may cede or assign its rights without the other's written consent.

11. Payment Terms

11.1 Seriti shall invoice the Dealer monthly for the Service Provider's products/services, together with Seriti's own monthly invoice for the Seriti System and related services.

11.2 All amounts are payable by the Dealer to Seriti within 15 (fifteen) days of the end of each month from commencement of services.

11.3 Payment by the Dealer to Seriti in respect of the Service Provider's products/services shall be deemed full and final discharge of the Dealer's payment obligations for those products/services.

11.4 The Service Provider reserves the right to suspend access to the Tool for late payments to Seriti exceeding 15 days, upon written notice to the Dealer.

11.5 All fees are subject to annual escalation at CPI, unless otherwise agreed in writing.

12. Warranties

12.1 The Service Provider warrants that the Tool:

  • Does not infringe the intellectual property rights of any third party;
  • Will function substantially as described when used for its intended purpose;
  • Will be maintained to comply with applicable South African law.

12.2 The Dealer warrants that it will not alter, tamper with or misrepresent the Tool, and will ensure its lawful use on its website.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic-related shutdowns, cyberattacks, strikes, or power outages. The affected party shall promptly notify the other and take reasonable steps to mitigate the impact.
